1. Introduction
1.1. These Terms of Service define the rules for using services provided by LiteChat.io, including access to and use of the live chat system and related services and functionalities (hereinafter "Services").
1.2. By using our Services, you accept these Terms of Service in their entirety. If you do not agree with any provision of the Terms, you should not use our Services.
1.3. LiteChat.io reserves the right to change the Terms at any time. We will inform you about significant changes via our website or by email.
2. Definitions
2.1. LiteChat.io - the service provider, owner, and operator of the live chat system.
2.2. User - a natural person, legal entity, or organizational unit without legal personality using LiteChat.io Services under a concluded agreement.
2.3. Account - individualized access to the Services administrative panel, created after registration.
2.4. Agent - a person authorized by the User to operate the live chat system on behalf of the User.
2.5. Visitor - a person using the Users website where the LiteChat.io live chat system is implemented.
3. Registration and Account
3.1. To use the full functionality of the Services, it is necessary to create an Account through the registration process.
3.2. During registration, the User is required to provide true and current data. The User is responsible for keeping this data up to date.
3.3. The User is responsible for maintaining the confidentiality of their password and restricting access to their Account. The User assumes responsibility for all activities undertaken using their Account.
3.4. In case of unauthorized access to the Account, the User should immediately notify LiteChat.io.
4. Scope and Conditions of Service Provision
4.1. LiteChat.io offers a live chat system enabling real-time communication between Users and Visitors to their websites.
4.2. The basic functions of the Services include:
- Unlimited number of Agents
- Unlimited number of conversations
- Support for up to 3 projects (domains) simultaneously
- Mobile application (iOS and Android)
- Real-time analytics
- Fast implementation (12KB code weight)
4.3. LiteChat.io ensures the availability of Services at a level of 99.5% on a monthly basis, excluding planned technical breaks, about which Users will be informed in advance.
4.4. LiteChat.io reserves the right to temporarily limit the availability of Services to carry out necessary maintenance work and updates.
5. Rights and Obligations of the User
5.1. The User has the right to use the Services in accordance with these Terms of Service and applicable law.
5.2. The User agrees to:
- Not undertake actions that could disrupt the functioning of the Services
- Not use the Services for activities contrary to law or infringing on the rights of third parties
- Not share offensive, obscene, racist, or otherwise inappropriate content
- Not undertake actions aimed at unauthorized access to other users data
- Not exceed the technical limits specified for the service
5.3. The User bears full responsibility for the content transmitted through the Services, including the content of conversations conducted by their Agents.
5.4. The User is obligated to ensure that all their Agents are familiar with these Terms of Service and comply with their provisions.
6. Fees and Payments
6.1. The use of Services is subject to fees according to the current price list available on the LiteChat.io website.
6.2. LiteChat.io offers two payment models:
Monthly payment or Annual payment
6.3. Before making a payment, the User can use a 14-day trial period without the need to provide payment card details.
6.4. Payments are made in advance for the selected billing period (month or year).
6.5. In case of failure to make timely payment, LiteChat.io has the right to limit or suspend the provision of Services.
6.6. LiteChat.io reserves the right to change the price list. Users will be informed about changes with at least 30 days notice. Changes do not apply to fees already paid for a started billing period.
7. Service Limitations and Right to Suspend
7.1. Despite the declared absence of limits on the number of Agents and conversations, LiteChat.io reserves the right not to renew the agreement with the User or to suspend the Account (with a proportional refund of the fee for the unused period) in the following cases:
7.1.1. When the User generates traffic that LiteChat.io is unable to handle for technical or operational reasons;
7.1.2. When the Users website is the subject of external attacks that may threaten the stability or security of LiteChat.io infrastructure;
7.1.3. When the User knowingly or unknowingly abuses system resources;
7.1.4. When the Users actions violate these Terms of Service or applicable law.
7.2. Before making a decision to suspend an Account, LiteChat.io will make every effort to contact the User to clarify the situation and find a solution.
7.3. In case of Account suspension for reasons mentioned in point 7.1, LiteChat.io will provide the User with the possibility to export data collected in the system within 14 days of suspension.
8. Intellectual Property
8.1. All intellectual property rights to the Services, including software, logo, trademarks, user interface, documentation, and other elements, belong to LiteChat.io or its licensors.
8.2. The User is granted a non-exclusive, non-transferable, revocable license to use the Services solely for the purpose consistent with these Terms of Service and to the extent necessary for using the Services.
8.3. The User does not have the right to:
- Modify, adapt, or translate the Services
- Decompile, disassemble, or otherwise attempt to obtain the source code of the Services
- Remove, alter, or hide information about copyrights, trademarks, or other intellectual property rights
- Sublicense, lend, rent, lease, or otherwise transfer rights to the Services to third parties
8.4. The use of the LiteChat.io name, logo, or other trademarks for marketing or promotional purposes requires prior written consent from LiteChat.io.
9. Confidentiality and Data Protection
9.1. LiteChat.io commits to maintaining the confidentiality of the Users and their clients data in accordance with applicable law and the Privacy Policy available on the website.
9.2. In terms of personal data processing, LiteChat.io acts as a processor within the meaning of GDPR, and the User as the data controller.
9.3. Detailed rules for personal data processing, including the rights and obligations of the parties in this regard, are specified in the data processing agreement, which forms an integral part of these Terms of Service.
9.4. The User is responsible for the compliance of Visitors personal data processing with legal regulations, in particular for obtaining necessary consents for data processing and for informing Visitors about the fact and scope of processing their data.
10. Liability
10.1. LiteChat.io makes every effort to ensure high quality and availability of Services, but does not guarantee that the Services will always be available, uninterrupted, and error-free.
10.2. LiteChat.io is not liable for:
- Damages resulting from improper use of the Services by the User
- Content transmitted by the User or their Agents through the Services
- Damages resulting from force majeure, external system failures, or actions of third parties beyond LiteChat.io control
- Indirect damages, including loss of profits, data, or business opportunities
10.3. LiteChat.io liability to the User for non-performance or improper performance of the agreement is limited to the amount of the fee paid by the User for the period in which the event causing the damage occurred, but not more than for 12 months.
10.4. Limitations of liability do not apply in the case of damages caused intentionally.
11. Complaints
11.1. The User has the right to file complaints regarding the provided Services.
11.2. Complaints should be submitted electronically to contact@litechat.io or in writing to the registered office of LiteChat.io.
11.3. A complaint should contain at least:
- User identification data (name, email, Account ID)
- Description of the problem
- Expected solution
11.4. LiteChat.io will consider the complaint within 14 days of its receipt and inform the User of the result of the complaint consideration electronically to the email address assigned to the Account.
11.5. If it is necessary to supplement information needed to consider the complaint, LiteChat.io will ask the User to supplement it, and the complaint consideration period will be extended accordingly.
12. Duration and Termination of the Agreement
12.1. The agreement is concluded for a fixed period corresponding to the billing period selected by the User (month or year) and is automatically renewed for subsequent periods unless the User opts out of automatic renewal.
12.2. The User may at any time opt out of automatic renewal of the agreement through the appropriate option in the administrative panel or by contacting customer service.
12.3. The User may terminate the agreement at any time by deleting the Account. In such a case, fees paid for the current billing period are not refundable unless applicable law provides otherwise.
12.4. LiteChat.io may terminate the agreement with immediate effect in the case of:
- Violation of the Terms of Service by the User
- Delay in payments for a period longer than 14 days
- Use of the Services in a manner that violates the rights of third parties or legal regulations
12.5. In the event of termination of the agreement, access to the Services will be blocked, and data collected within the Account will be stored for a period of 30 days, after which they will be permanently deleted. During this time, the User has the possibility to download their data.
13. Force Majeure
13.1. Neither party will be liable for non-performance or improper performance of obligations under the agreement if the non-performance or improper performance results from force majeure.
13.2. Force majeure is understood as external events, independent of the parties, impossible to predict and prevent, such as wars, natural disasters, strikes, telecommunications network failures, hacker attacks, actions of state authorities making it impossible to perform the agreement.
13.3. A party affected by force majeure is obliged to immediately notify the other party of the occurrence of force majeure circumstances and the expected duration of these circumstances.
13.4. If force majeure circumstances prevent the provision of Services for a period longer than 30 days, each party has the right to terminate the agreement with immediate effect, without observing a notice period.
14. Final Provisions
14.1. These Terms of Service are subject to Polish law.
14.2. Any disputes arising from the agreement will be resolved first amicably, and in case of no possibility of amicable resolution, by the court competent for the registered office of LiteChat.io.
14.3. If any provision of the Terms is found to be invalid or ineffective, the rest of the Terms remains in force. In place of invalid provisions, relevant legal regulations will apply.
14.4. The Terms of Service come into effect on the date of publication on the LiteChat.io website and apply to agreements concluded after this date.
